The Securities and Exchange Commission of Pakistan has approved the Offer for Sale prospectus of Naya Nazimabad Apartments REIT, clearing the way for the scheme to list on the Pakistan Stock Exchange, according to information published on 18 August 2026. The offering comprises 44.06 million REIT units, representing 15 percent of the scheme's total units.
How the Offering Is Structured
The units will be offered through a book building mechanism, with 75 percent allocated to institutional investors and high net worth individuals, and the remaining 25 percent reserved for retail investors. Naya Nazimabad Apartments REIT is structured as a closed end Developmental REIT, established under Pakistan's Real Estate Investment Trust Regulations, 2022, with the underlying scheme developing acquired real estate into a mix of commercial, retail and residential properties. Unlike a rental REIT, which generates ongoing income from tenant rent, a developmental REIT of this kind is structured so that returns for unit holders come from the eventual sale of completed properties once development is finished.
What a Developmental REIT Actually Means for Investors
Pakistan's REIT framework, administered by SECP, recognises different categories of REIT scheme depending on how the underlying real estate generates returns. A developmental REIT specifically invests in real estate for the purpose of constructing or refurbishing it for industrial, commercial or residential use, with the REIT Management Company overseeing that development process on behalf of unit holders. This differs meaningfully from a rental REIT, which instead holds a portfolio of already built properties and distributes ongoing rental income, or from a hybrid structure combining both approaches. Investors considering Naya Nazimabad Apartments REIT specifically should understand that their returns are tied to the successful completion and sale of the underlying development, rather than to a steady rental income stream from day one.
Part of a Growing REIT Market on PSX
Pakistan currently has 29 registered REIT schemes, of which six are already listed on the Pakistan Stock Exchange. Naya Nazimabad Apartments REIT will become the seventh listed REIT once its listing is finalised. This offering is also the 13th public offering SECP has approved in 2026, a pace the regulator has pointed to as evidence of growing reliance on Pakistan's capital markets for business financing and investment across sectors including manufacturing, technology, energy, food, agriculture and real estate.
Why This Matters for Real Estate Investors Specifically
A REIT listing gives investors a way to gain exposure to a specific real estate development without directly purchasing, financing or managing the underlying plots and construction themselves. For a project like Naya Nazimabad, an established housing scheme in Karachi, this structure allows retail investors with comparatively modest capital to participate in the returns generated by its apartment, commercial and retail development through a professionally managed, PSX regulated vehicle, rather than needing to buy a full unit or plot outright. This differs fundamentally from Pakistan's traditional file and plot based real estate investment model, since REIT units trade on the stock exchange and are subject to SECP's disclosure and governance requirements rather than the informal verification processes that still apply to much of the country's direct property market.
What This Means for the Broader Naya Nazimabad Development
For the wider Naya Nazimabad scheme, a successful REIT listing provides the underlying project with a formal capital markets financing channel for its apartment, commercial and retail components, potentially supporting faster development completion than relying solely on direct plot sales or conventional bank financing. Investors and residents connected to Naya Nazimabad should watch for the REIT's actual PSX listing date and opening trading price once the offering process concludes, since SECP's prospectus approval is the regulatory clearance step, not the listing itself.
